Corporate Associate – Delaware (Hybrid)
Direct Counsel is representing an Amlaw 100 firm.
An Amlaw 100 firm is seeking a Corporate Associate with 2–5 years of experience to join its Corporate Practice Group in Delaware . This is a hybrid position offering the opportunity to work at the intersection of high-level transactional work and Delaware’s influential corporate legal landscape.
About the Practice:This Corporate & Securities group is known for guiding clients through complex matters with a focus on:
Mergers and acquisitions
Public offerings and private placements
Joint ventures and fund transactions
Debt and equity financings
Corporate governance and fiduciary duty issues
Attorneys on this team work with corporations, partnerships, and LLCs , leveraging Delaware’s unique legal framework to help clients achieve their strategic goals.
Key Responsibilities:Advise clients on corporate governance, fiduciary duties, and transactional matters
Draft and negotiate a range of corporate agreements and deal documents
Support complex M&A, fund formation, and financing transactions
Provide analysis and counsel on Delaware corporate and alternative entity law
2–5 years of corporate transactional experience with a focus on Delaware entities
Familiarity with Delaware General Corporation Law (DGCL) and Delaware alternative entity statutes
Experience with M&A, financing, fund transactions, and joint ventures
Strong academic credentials and excellent written and verbal communication skills
Prior large firm or well-regarded corporate practice experience preferred
Must be licensed in Delaware
Salary range: $210,000 – $260,000/year , based on experience and qualifications
Annual discretionary bonus eligibility
