Job Details

We are a premier Florida-based law firm known for its exceptional legal services and collaborative culture.

We are seeking a Securities Attorney for our Corporate, Securities, and M&A practice group.

Responsibilities:

• Provide legal counsel on securities law matters, including private securities offerings, fund work, and joint ventures.
• Draft, review, and negotiate securities-related documents such as offering memoranda, subscription agreements, and compliance policies.
• Advise clients on regulatory compliance, corporate governance, and securities transactions.
• Conduct due diligence and manage transactional processes for securities offerings and capital markets transactions.
• Collaborate with other attorneys and legal professionals within the firm to deliver comprehensive legal solutions to clients.
• Stay updated on relevant securities laws, regulations, and industry trends to provide proactive legal advice.

Qualifications:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the Florida Bar.
• Minimum of 8 years of experience in securities law, with a focus on private securities offerings and capital markets.
• Strong analytical, negotiation, and communication skills.
• Ability to work collaboratively in a team-oriented environment.
• High level of professionalism and ethical standards.
• Experience with cross-border securities transactions and international securities law.
